INTRODUCTION
Welcome to the wine management application (“the Application”). This Application is provided and managed by Europe Digital LTD (“we”, “our” or “the Company”). By using the Application, you fully accept these Terms and Conditions of Use (“Terms”), our Privacy Policy and all applicable guidelines or operating rules that may be published from time to time on the Application.

Please read these Terms carefully before accessing or using the Application. By accessing or using any part of the Application, you declare that you have read, understood and agreed to be bound by these Terms. If you do not accept all the terms and conditions of this agreement, you may not access the Application or use the services offered.

DESCRIPTION OF SERVICES
The Application offers users the following services:
- Management of personal wine collection
- Analysis of wine labels using AI technology
- Sharing of wine information with other users
- Wine rating and reviewing
- Dashboard sharing functionality
- Subscription to premium plans with advanced features
- Payment processing via Stripe
- Integration with email services for notifications

ACCOUNT REQUIREMENTS
1. Registration
  To use certain features of the Application, you will need to create an account. During registration, you will be required to provide accurate, complete and up-to-date information. It is your responsibility to maintain the confidentiality of your account and password and to limit access to your computer or device. You agree to assume responsibility for all activities that occur under your account or password.
2. Email Verification
  After registration, we will send you a verification email. Access to certain features of the Application may be limited until you have verified your email address.
3. Account Restrictions
  You may not use another person’s account without authorisation. In creating your account, you must provide accurate and complete information. You may not:
  - Create more than one personal account
  - Create another account if we have disabled your previous account
  - Sell, transfer or assign any aspect of your account

SUBSCRIPTION PLANS AND PAYMENTS
1. Available Plans
  The Application offers various subscription plans, including free and premium plans, each with different features and limitations. The specific characteristics and prices are described in the Subscriptions section of the Application.
2. Payment Processing
  All subscription payments are processed via Stripe. By accepting these Terms, you also agree to Stripe’s Terms of Service available at https://stripe.com/legal/ssa.
3. Automatic Renewal
  Unless otherwise specified, subscriptions automatically renew at the end of the subscription period, unless cancelled at least 24 hours before the renewal date. You can manage and cancel your subscription in your account settings.
4. Price Changes
  We reserve the right to change our prices for subscription plans. Any change to the price of your subscription plan will be communicated to you in advance and will only apply to subscription periods following the current period.
5. Invoicing
  We will provide you with invoices for all purchases made through the Application. These invoices will be available in the “Invoices” section of your account and will be sent to you via email.
6. AI Usage Quotas
  Each subscription plan includes a specific quota for the use of AI features. Once the quota is reached, you may need to upgrade to a higher plan or wait for the quota to be reset in the next billing cycle.

USE OF THE APPLICATION
1. Licence
  Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to access and use the Application for your personal and non-commercial use.
2. Restrictions
  You may not:
  - Use the Application illegally or for illegal purposes
  - Violate the intellectual property rights or other legal rights of others
  - Attempt to access any part of the Application that you are not authorised to access
  - Interfere with or compromise the security of the Application
  - Use robots, spiders, crawlers or other automated means to access the Application
  - Circumvent measures we use to prevent or limit access to the Application
3. User Content
  The Application allows you to upload and share content, such as images of wine labels, reviews and ratings. You will retain ownership of the rights to the content you upload, but you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, publish and distribute such content in connection with the operation and promotion of the Application.
4. Content Policy
  You may not upload content that:
  - Violates third-party intellectual property rights
  - Is illegal, defamatory, offensive, threatening, abusive, pornographic or otherwise objectionable
  - Contains viruses or other harmful code
  - Violates other people’s privacy
  - Is false or misleading

SHARING FUNCTIONALITY
1. Dashboard Sharing
  The Application allows you to share your dashboard and wine collection data with other users. When you share your dashboard:
  - Invited users will be able to view the wines in your collection
  - Invited users will be able to add ratings to your wines
  - Invited users will be able to view your ratings and notes
2. Sharing Invitations
  You can send email invitations to share your dashboard. Invitations will expire after a certain period if not accepted. You can cancel an invitation at any time before it is accepted.
3. Disconnecting from Sharing
  Both you and the user with whom you have shared the dashboard can disconnect from sharing at any time in the sharing settings.

ARTIFICIAL INTELLIGENCE FEATURES
1. Wine Label Analysis
  The Application uses artificial intelligence technologies to analyse wine labels and provide information about wines. While we strive to provide accurate analyses, AI technology has inherent limitations and we cannot guarantee the absolute accuracy of the information provided.
2. Quotas and Limitations
  The use of AI features is subject to quotas and limitations based on your subscription plan. We will monitor AI usage to ensure fair use and prevent abuse.
3. Use of Data for AI Training
  Images uploaded for AI analysis may be used to improve our AI models. However, we will not use your personal data or associated metadata for these purposes without your explicit consent.

INTEGRATION WITH THIRD-PARTY SERVICES
1. Cloudflare Images
  We use Cloudflare Images for image hosting. By uploading images to the Application, you agree to Cloudflare’s terms of service available at https://www.cloudflare.com/terms/.
2. Stripe
  We use Stripe for payment processing. Your payment information is handled directly by Stripe and is not stored on our servers.
3. Mailjet
  We use Mailjet for sending emails. You agree that we may use this service to send you communications related to the Application.
4. OpenAI
  AI analysis features use OpenAI services. By using these features, you agree to OpenAI’s terms of service available at https://openai.com/policies/terms-of-use.

INTELLECTUAL PROPERTY
1. Ownership of the Application
  The Application and all its original content, features and functionality are and will remain the exclusive property of Europe Digital LTD and its licensors, if applicable.
2. Trademarks
  All trademarks, logos and service names displayed on the Application are the property of ours or their respective owners. You may not use such marks without our prior written consent or the consent of the respective owner.

PRIVACY AND DATA PROTECTION
1. Privacy Policy
  Our Privacy Policy, available on the Application, describes our practices regarding the collection, use and disclosure of your personal information.
2. GDPR Compliance
  We are committed to complying with the European Union’s General Data Protection Regulation (GDPR). Users in the EU have specific rights regarding their personal data, including the right of access, rectification, erasure and restriction of processing.

10.3 Sharing Settings
You can control the sharing of your data through the sharing settings available in your account. It is your responsibility to configure these settings according to your privacy preferences.

LIMITATIONS OF LIABILITY
1. “AS IS”
  The Application is provided “as is” and “as available” without any warranty, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
2. Accuracy of Information
  We do not guarantee that the information provided by the Application, particularly that generated by AI, is accurate, complete or up-to-date. Information about wines and label analyses are provided for informational purposes only and should not be considered professional advice.
3. Limitation of Liability
  In no event shall Europe Digital LTD, its directors, employees, partners, agents, suppliers or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including, without limitation, loss of profits, data, use, goodwill or other intangible losses, resulting from or related to:
  - Your use or inability to use the Application
  - Any transaction or purchase made through the Application
  - Unauthorised access to or alteration of your transmissions or data
  - Statements or conduct of any third party on the Application

INDEMNIFICATION
You agree to indemnify, defend and hold harmless Europe Digital LTD, its affiliates, officers, agents, employees, advertising partners and licensors from and against any claim, liability, damage, loss and expense, including reasonable legal fees and costs, arising from or in any way connected to:
- Your access to or use of the Application
- Your violation of these Terms
- Your violation of any third-party rights, including, without limitation, any intellectual property rights, privacy or property rights

TERMINATION
1. Termination by Us
  We may terminate or suspend your account and access to the Application immediately, without prior notice or liability, for any reason, including, without limitation, breach of these Terms.
2. Termination by You
  You may terminate your account at any time by deactivating it in the account settings or by contacting us.
3. Effects of Termination
  Upon termination, your licence to use the Application will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

APPLICABLE LAW AND DISPUTE RESOLUTION
1. Applicable Law
  These Terms shall be governed by and construed in accordance with United Kingdom law, without regard to its conflict of law principles.
2. Dispute Resolution
  Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of London, UK.

CHANGES TO TERMS
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Application after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Application.

GENERAL PROVISIONS
1. Entire Agreement
  These Terms constitute the entire agreement between you and Europe Digital LTD regarding the Application and supersede all prior and contemporaneous communications and proposals, whether electronic, oral or written, between you and Europe Digital LTD regarding the Application.
2. Severability
  If any provision of these Terms is found to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
3. Waiver
  Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
4. Notices
  Any notice or other communication to be given under these Terms, including those relating to modifications to these Terms, will be in writing and given by email, posted on the Application or given through any other means determined by us.
